Terms of Business
Last updated: October 2026
These terms apply to all work carried out by Islo for you, the client. Please read them carefully. By confirming a package or asking us to start work, you agree to these terms.
1. About us
1.1 Islo is a business and life admin support service run by a sole trader in Jersey. In these terms, "Islo", "we", "us" and "our" mean Islo, and "you" and "your" mean the client.
1.2 You can contact us at hello@islo.co.uk.
2. Our services
2.1 We provide administrative, virtual assistant, bookkeeping admin, payroll administration and related support services. We are not accountants and do not prepare accounts or give accounting advice. The specific services, hours and price for your work will be confirmed in writing before we start, either by email or in a separate proposal.
2.2 We will carry out the services with reasonable skill, care and confidentiality.
2.3 Anything not agreed in writing is outside the scope of our services. If you ask for extra work, we will confirm whether it can be included in your package or will be charged separately before we start it.
2.4 We do not provide legal, tax, financial or investment advice. Any information we give is to help with your administration only, and you remain responsible for business decisions. Where you need professional advice, we may recommend you speak to a suitably qualified adviser.
2.5 Tax returns are prepared by a trusted, qualified accountant we work with. We help gather and organise the information, and the accountant is responsible for the return itself.
2.6 We may use trusted self-employed associates to help deliver some of your work, for example during busy periods or holidays, or where an associate has specific skills. We remain responsible for the quality of all work and stays your main point of contact. Every associate works under a written agreement with us and is bound by the same confidentiality and data protection obligations as we are. You can ask at any time who works on your account, and if you would prefer that only one named person handles your work, just let us know and we will agree how that works in your package.
3. Packages and hours
3.1 Monthly packages include a set number of hours each month, which can be used on any of the agreed services.
3.2 Unused hours do not carry over. Hours reset at the start of each monthly period.
3.3 Time is recorded in 15 minute units. We will let you know if you are close to using your monthly hours.
3.4 If you need more hours in a month, extra time is charged at our hourly rate, currently £30 per hour, unless agreed otherwise in writing. We will always check with you before going over your package hours.
3.5 Ad hoc and one-off work, including temporary cover, is charged at the price or rate agreed in writing before the work starts.
4. Fees and payment
4.1 Monthly packages are invoiced at the start of each monthly period, in advance.
4.2 Ad hoc work and extra hours are invoiced at the end of the month, or when the work is complete.
4.3 Invoices are payable within 7 days of the invoice date by bank transfer, unless agreed otherwise.
4.4 If an invoice is not paid on time, we may pause work until it is paid. We will always contact you first.
4.5 Any expenses, such as software subscriptions, postage or travel, will only be incurred with your approval in advance and will be recharged at cost.
4.6 Our prices do not include GST. If Islo becomes registered for GST, GST will be added at the applicable rate and we will let you know in advance.
4.7 We may review our prices from time to time. We will give you at least 30 days' written notice of any change.
5. Your responsibilities
5.1 You agree to give us accurate, complete and timely information, records and instructions, so we can carry out the services.
5.2 You remain responsible for your business, your records and your legal and tax obligations. Where we prepare returns, payroll or other submissions, you will review and approve them before they are filed, unless agreed otherwise in writing.
5.3 Where work has a deadline, such as a GST return or Combined Employer Return, you agree to provide the information we need in good time. We are not responsible for late filing or penalties caused by information arriving late or being incomplete.
5.4 You will keep your own original records and backups.
6. Access to your systems
6.1 Where we need access to your email, accounting software or other systems, you will give us our own login wherever possible, rather than sharing yours.
6.2 We will only access the systems and information needed for the agreed work, and use two factor authentication wherever it is available.
6.3 You can change or remove our access at any time.
7. Confidentiality
7.1 We will keep all information about you, your business and your clients confidential, and only use it to carry out the agreed work.
7.2 We will issue a separate confidentiality agreement before any work begins.
7.3 Our duty of confidentiality continues after our work together ends.
7.4 We will not disclose your information unless you agree, or we are required to by law.
8. Data protection
8.1 We comply with the Data Protection (Jersey) Law 2018 and, where it applies, UK or EU data protection law. Islo is registered with the Jersey Office of the Information Commissioner (registration no. 103137).
8.2 Where we handle personal data on your behalf, such as your customers' or employees' details, we act as your data processor. We will only process that data on your instructions and for the agreed work.
8.3 We will keep personal data secure, and tell you without undue delay if we become aware of a data breach affecting your information.
8.4 When our work together ends, we will return or securely delete your data, unless we are required by law to keep it.
8.5 Our privacy policy is available on this website.
8.6 By agreeing to these terms, you give your general authorisation for us to use trusted self-employed associates (see clause 2.6) to process personal data on your behalf. Each associate works under a written agreement with data protection terms at least as protective as these. We remain responsible to you for their work, and we will tell you before adding a new associate to your account, so you have the chance to object.
9. Use of AI tools
9.1 We will not put your personal or confidential business information into AI tools without your agreement.
10. Liability
10.1 If we make a mistake, please tell us as soon as possible and we will put it right where we can, at no extra cost.
10.2 We are not responsible for any loss caused by information or instructions you give us being inaccurate, incomplete or late, decisions you make, or problems with third party systems or software outside our control.
10.3 Our total liability to you for any claim arising from our services is limited to the fees you paid us in the three months before the event that caused the claim.
10.4 We are not liable for any indirect or consequential loss, such as loss of profit, business or opportunity.
10.5 Nothing in these terms limits liability that cannot be limited by law, including liability for fraud.
11. Third parties
11.1 We will not pass any of your work to anyone else without your agreement, except to our trusted associates as set out in clause 2.6, or where agreed as part of a service, such as tax returns prepared by our partner accountant.
11.2 Where we recommend or introduce a third party, they are responsible for their own services.
12. Recruitment on your behalf
12.1 Where we help you recruit, you are the employer. You make the final decision on who to hire and are responsible for the terms of employment, right to work checks and employment law obligations.
12.2 We will handle candidates' personal information securely and only for the purpose of your recruitment, and share it with you as needed for that purpose.
13. Raising concerns
13.1 If you are unhappy with any part of our service, please tell us straight away by email, so we have the chance to put it right. Most issues can be resolved quickly and privately.
13.2 We will acknowledge your concern within 2 working days and aim to resolve it within 14 days.
13.3 Whatever happens, both of us agree not to share each other's confidential information publicly, in line with section 7.
14. Ending our work together
14.1 Monthly packages run on a rolling monthly basis. Either of us can end the agreement by giving 30 days' notice in writing, by email is fine.
14.2 Either of us can end the agreement immediately by written notice if the other seriously breaches these terms and does not put it right within 14 days of being asked to, or if invoices remain unpaid for more than 30 days.
14.3 When our work together ends, we will hand over any work in progress and your information, return or delete your data as set out in section 8, and remove our access to your systems. You will pay for all work carried out up to the end date.
15. Changes to these terms
15.1 We may update these terms from time to time. We will give you at least 30 days' notice of any changes by email.
16. General
16.1 These terms, together with any written confirmation of your services and our confidentiality agreement, form the whole agreement between us.
16.2 If any part of these terms is found to be unenforceable, the rest will still apply.
16.3 These terms are governed by the law of Jersey, and the courts of Jersey have jurisdiction over any dispute.
